2. Scope of Services

Excel IT Expert provides specialized technical services for startups and businesses.

  • General Use: The content on this website is for general information and valid as an invitation to treat. It does not constitute a binding offer to perform work until a specific proposal or contract is signed.

  • Service Agreements: Specific projects (e.g., building a chatbot or migrating to AWS) will be governed by a separate Master Services Agreement (MSA) or Statement of Work (SOW). In the event of a conflict between these website Terms and a signed MSA/SOW, the signed MSA/SOW shall prevail.

3. Intellectual Property Rights

A. Website Content

Unless otherwise stated, Excel IT Expert and/or its licensors own the intellectual property rights for all material on www.excelitexpert.com (including text, graphics, logos, and code). All intellectual property rights are reserved. You may not republish, sell, rent, or duplicate material from our website without express written consent.

B. Client Deliverables

Ownership of code and intellectual property created during paid projects is strictly governed by the contract signed for that project. Generally, upon full payment, the Client owns the Deliverables, while Excel IT Expert retains the rights to its background technology, pre-existing code libraries, and methodologies.

4. User Obligations

By using our Site or Services, you agree not to:

  • Use our website in any way that causes, or may cause, damage to the website or impairment of the availability or accessibility of the website.

  • Use our website in any way which is unlawful, illegal, fraudulent, or harmful.

  • Submit false or misleading information through our contact forms.

  • Attempt to gain unauthorized access to any portion of the website or our cloud infrastructure.

5. Third-Party Tools and Cloud Providers

Our services often rely on third-party platforms (e.g., AWS, Google Cloud, OpenAI, Docker).

  • No Control: We do not control these third parties. We are not responsible for outages, data breaches, or policy changes caused by third-party providers such as Amazon Web Services or AI model providers.

  • Direct Costs: Unless otherwise agreed, the Client is responsible for paying all direct usage costs (e.g., AWS monthly bills, API token usage) directly to the provider.

6. Artificial Intelligence Disclaimer

For services involving AI (Generative AI, Chatbots, Predictive Models):

  • Accuracy: You acknowledge that AI technologies can occasionally produce incorrect or "hallucinated" output. Excel IT Expert assists in minimizing this via engineering (RAG, prompt engineering), but we cannot guarantee 100% accuracy of AI-generated content.

  • Liability: We are not liable for decisions made based solely on AI predictions or generated content.

7. Limitation of Liability

To the fullest extent permitted by law, Excel IT Expert shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

  • Your access to or use of or inability to access or use the website.

  • Any unauthorized access to our servers.

  • Bugs, viruses, or trojan horses transmitted through third-party services.

For paid services, our total liability is limited to the amount paid by the Client to Excel IT Expert for the specific service giving rise to the claim.

8. Indemnification

You agree to indemnify and hold Excel IT Expert harmless from any demands, loss, liability, claims, or expenses (including attorneys’ fees) made against us by any third party due to or arising out of your use of the Site or our Services, or your violation of these Terms.

9. Termination

We may terminate or suspend your access to our website and services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

10. Governing Law
